Stations Licenses. Seller is the authorized legal holder of all of the Stations’ Licenses. Schedule 1.1(a) lists all FCC broadcast station licenses, outstanding construction permits, special temporary authorizations, and auxiliary authorizations, and antenna structure registrations (“ASRs”) associated with the Stations. Except as set forth on Schedule 1.1(a), to Seller’s knowledge, no proceedings are now pending before any governmental authority with respect to the Station. Seller does not know of any facts relating to the Stations that could cause the FCC to deny its consent to the assignment of the Stations’ Licenses to Buyer hereunder.
