Status and Authority of Purchaser. Purchaser is a --------------------------------- limited partnership duly organized, validly existing and in trust good standing under the laws of the State of Delaware and has all requisite power and authority under the laws of such state and under its charter documents to enter into and perform its obligations under this Agreement and to consummate the transactions contemplated hereby. Purchaser has duly qualified and is in good standing as a trust or unincorporated business association in each jurisdiction in which the nature of the business conducted by it requires such qualification.
