The 'Status as a Member' clause defines the conditions under which an individual or entity is recognized as a member within an organization or agreement. Status as a Member. The DMM agrees to maintain its status as a Member of the Exchange.
Status as a Member. Upon compliance with the other applicable ------------------ requirements of this Section 4.4, the transferee shall be deemed a "Member" for the purposes of this LLC Agreement and a party to this LLC Agreement, and shall have the rights and be subject to the obligations of a Member hereunder and a party hereto with respect to the Membership Interest held by such transferee.
Status as a Member. Unless the Participant is already a Member of the Company as of the Exchange Date, the Participant shall be admitted as a Member of the Company as of the Exchange Date with beneficial ownership of the Number of Option Units set forth above issued to the Participant as of such date pursuant to this Award Agreement by: (A) signing and delivering to the Company a copy of this Award Agreement; and (B) signing, as a Member, and delivering to the Company a counterpart signature page to the LLC Agreement (attached hereto as Exhibit A).
Status as a Member. Upon compliance with the other applicable requirements of this Article XII, a transferee of a Membership Interest (but not an Economic Interest) shall be deemed a "Member" for the purposes of this LLC Agreement and a party to this LLC Agreement, and shall have the rights and be subject to the obligations of a Member hereunder and a party hereto with respect to the Membership Interest held by such transferee.
