Common use of Status of Administrative Agent Clause in Contracts

Status of Administrative Agent. On or before the date the Administrative Agent becomes a party to this Agreement, the Administrative Agent shall provide to the Borrower two duly-executed copies of IRS Form W-9. The Administrative Agent agrees that if any form or certification it previously delivered expires or becomes obsolete or inaccurate in any respect, it shall update such form or certification or promptly notify the Borrower in writing of its legal ineligibility to do so.

Status of Administrative Agent. On The Administrative Agent shall, on or prior to the Closing Date (or, in the case of a successor Administrative Agent, on or before the date on which it becomes the Administrative Agent becomes hereunder), provide the Borrower with a party to this Agreement, properly completed and duly executed copy of IRS Form W-9 confirming that the Administrative Agent shall provide to the Borrower two duly-executed copies of IRS Form W-9is exempt from U.S. federal backup withholding. The Administrative Agent agrees that shall update such form if any form or certification it previously delivered expires or becomes obsolete or inaccurate in any respect, it shall update such form or certification respect or promptly notify the Borrower in writing of its legal ineligibility inability to do so.

Status of Administrative Agent. On The Administrative Agent (in its capacity as Administrative Agent) shall, to the extent it is legally eligible to do so, deliver to the Borrower on or before prior to the date on which the Administrative Agent becomes a party to this Agreement, the Administrative Agent shall provide under this Agreement (and from time to time thereafter upon the Borrower reasonable request of the U.S. Borrower) two duly-properly completed and duly executed copies of IRS Form W-9. The Administrative Agent agrees that if any form or certification it previously delivered expires or becomes obsolete or inaccurate in any respect, it shall update such form or certification or promptly notify the Borrower in writing of its legal ineligibility to do so.

Status of Administrative Agent. On or before prior to the date on which the Administrative Agent becomes a party the Administrative Agent under this Agreement (and from time to this Agreementtime thereafter upon the reasonable request of Xxxxxxxx), the Administrative Agent shall provide will deliver to the Borrower two duly-either (i) an executed copies copy of IRS Internal Revenue Service Form W-9. The Administrative Agent agrees that if , or (ii) with respect to any form or certification it previously delivered expires or becomes obsolete or inaccurate in any respectamounts received on its own account, it shall update such form or certification or promptly notify the Borrower in writing an executed copy of its legal ineligibility to do soan applicable Internal Revenue Service Form W-8.

Status of Administrative Agent. On or before the date the Administrative Agent becomes a party to this AgreementClosing Date and at other times reasonably requested by Borrower, the Administrative Agent shall provide deliver to the Borrower two duly-executed copies originals of IRS Form W-9W-9 establishing an exemption from U.S. federal backup withholding Tax. The Administrative Agent (or, upon assignment or replacement, any assignee or successor) agrees that if any form or certification it previously delivered expires or becomes obsolete or inaccurate in any respectobsolete, it shall update such form or certification or promptly notify the Borrower in writing of its legal ineligibility inability to do so.
