Status of Administrator; Delivery of Tax Forms. On or before the date that any Person becomes the Administrator hereunder (and from time to time thereafter upon the reasonable request of the Seller), it shall deliver to the Seller properly two completed and executed originals of either (i) IRS Form W-8ECI, or (ii) such other documentation as will establish that the Seller can make payments to the Administrator without deduction or withholding of any Taxes imposed by the United States. The Administrator agrees that if any form or documentation it previously delivered expires or becomes obsolete or inaccurate in any respect, it shall update such form or documentation or notify the Seller of its legal inability to do so.
