Status of Successor. Every successor Collateral Agent appointed pursuant to Section 7.6 shall be a commercial bank in good standing and having power to act as the Collateral Agent hereunder, incorporated under the laws of the United States of America or any State thereof or the District of Columbia, and borrowing a combined capital and surplus of at least $500,000,000.
