Status of the Issuer. The Issuer is duly organized and validly existing as a mixed-economy company under the laws of Colombia with the power and authority to own and hold under lease or other valid instrument its properties and conduct its business as described in the Registration Statement, the Time of Sale Information and the Prospectus and is duly qualified to conduct the business in which it is engaged in each jurisdiction or place where the conduct of its business requires such qualification, except where the failure to be so qualified could not, individually or in the aggregate, have a Material Adverse Effect.
