Status, Power and Authority. Buyer is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware and has the requisite corporate power and authority to own and lease its properties, to conduct its business as currently conducted, to acquire the Acquired Assets and to perform its obligations under this Agreement including, without limitation, the corporate power and authority to assume and perform the Assumed Obligations. Buyer is qualified to do business in the state of Texas.
