Common use of Statutes; Consents Clause in Contracts

Statutes; Consents. No statute, rule, order, decree or regulation shall have been enacted or promulgated after the date hereof by any Governmental Authority of competent jurisdiction which prohibits the consummation of the Contemplated Transactions or otherwise materially limits or restricts ownership or operation of the business of the Companies and all foreign or domestic governmental consents, orders and approvals required for the consummation of the Contemplated Transactions as set forth on Schedule 6.1(b) of the Disclosure Schedules, shall have been obtained and shall be in effect at the Closing and shall not materially limit or restrict ownership or the operation of the business of the Companies;

No statute, rule, order, decree decree, regulation, executive order, ruling or regulation temporary or permanent injunction shall have been enacted enacted, entered, promulgated or promulgated after the date hereof enforced by any Governmental Authority Entity of competent jurisdiction which which, as of the Closing Date, prohibits the consummation of the Contemplated Transactions Merger or otherwise materially limits or restricts ownership or operation of the business of the Companies Surviving Corporation and all foreign or domestic governmental consents, orders and approvals required for the consummation of the Contemplated Transactions as set forth on Schedule 6.1(b) of Merger and the Disclosure Schedules, transactions contemplated hereby shall have been obtained and shall be in effect at the Closing Effective Time and shall not materially limit or restrict ownership or the operation of the business of the CompaniesSurviving Corporation;
