Common use of Statutes; Consents Clause in Contracts

Statutes; Consents. (i) No statute, rule, order, decree or regulation shall have been enacted or promulgated by any Governmental Authority which prohibits the consummation of the transactions contemplated by this Agreement and (ii) all material consents, orders and approvals of Governmental Authorities required for the consummation of the transactions contemplated by this Agreement shall have been obtained and shall be in effect at the Closing Date except where the failure to obtain such consent, order or approval would not have a material adverse effect on the ability of the Purchaser to consummate the transactions contemplated by this Agreement.
