Common use of Statutes; Court Orders Clause in Contracts

Statutes; Court Orders. No Law shall have been enacted, entered, promulgated or enforced by any court of competent jurisdiction or other Governmental Entity that prohibits the consummation of the Merger, and no Governmental Entity of competent jurisdiction shall have issued a final, non-appealable order or taken any other action permanently restraining, enjoining or otherwise prohibiting the consummation of the Merger or the other transactions contemplated by this Agreement.

No Law statute, rule or regulation shall have been enacted, entered, enacted or promulgated or enforced by any Governmental Entity which prohibits the consummation of the Merger and no temporary restraining order, preliminary or permanent injunction or other order, decree or ruling issued by a court of competent jurisdiction or other by any Governmental Entity that prohibits shall be in effect, which would make the acquisition or holding by Parent or its subsidiaries of the Shares or shares of common stock of the Surviving Corporation illegal or otherwise prevent the consummation of the Merger, and no Governmental Entity of competent jurisdiction shall have issued a final, non-appealable order or taken any other action permanently restraining, enjoining or otherwise prohibiting the consummation of the Merger or the other transactions contemplated by this Agreement.

Statutes; Court Orders. No Law shall have been enacted, entered, promulgated or enforced by any court of competent jurisdiction or other Governmental Entity Authority that prohibits the consummation of the Mergertransactions contemplated hereby, and no Governmental Entity Authority of competent jurisdiction shall have issued a final, non-appealable order or taken any other action permanently restraining, enjoining or otherwise prohibiting the consummation of the Merger or the other transactions contemplated by this Agreement.

No Law statute, rule, regulation, executive order, decree, ruling or injunction shall have been enacted, entered, promulgated promulgated, issued or enforced by any court of competent jurisdiction or other Governmental Entity that prohibits prohibits, restrains, enjoins, precludes or restricts the consummation of the Merger, and no Governmental Entity of competent jurisdiction shall have issued a final, non-appealable order or taken any other action permanently restraining, enjoining or otherwise prohibiting the consummation of the Merger or the other transactions contemplated by this Agreement.

If any Order is issued, each party shall use its reasonable efforts to remove such Order.
