Common use of Statutes; Court Orders Clause in Contracts

Statutes; Court Orders. No order, injunction, judgment, decree or ruling (whether temporary, preliminary or permanent) enacted, promulgated, issued or entered by any Governmental Authority of competent authority (collectively, “Restraints”) or Laws shall be in effect enjoining, restraining, preventing or prohibiting consummation of the Merger or making consummation of the Merger illegal.

Statutes; Court Orders. No order, injunction, judgment, decree or ruling (whether temporary, preliminary or permanent) enacted, promulgated, issued or entered after the date of this Agreement by any Governmental Authority of competent authority jurisdiction (collectively, “Restraints”) or Laws enacted or promulgated after the date of this Agreement shall be in effect enjoining, restraining, preventing or prohibiting consummation of the Merger or making consummation of the Merger illegal.

Statutes; Court Orders. No statute, rule, regulation, executive order, injunctiondecree, judgment, decree ruling or ruling injunction (whether temporary, preliminary or permanent) shall have been enacted, promulgatedentered, issued promulgated or entered enforced by any Governmental Authority of competent authority (collectively, “Restraints”) or Laws shall be in effect enjoining, restraining, preventing or prohibiting Entity which prohibits the consummation of the Merger Transactions, substantially on the terms contemplated hereby; provided, however, that the parties shall use their commercially reasonable efforts to have any such order or making consummation of the Merger illegalinjunction vacated or lifted.
