STATUTORY BOOKS AND MEMORANDA AND ARTICLES OF ASSOCIATION. 2.7.1. The Register of Members and other books and records required by the Companies Act to be kept by the Company contain an accurate and complete record of the matters with which they should deal and there has been no notice of any proceedings to correct or rectify any such books. 2.7.2. The copy of the Memorandum and Articles of Association of the Company attached to the Disclosure Letter is complete and accurate in all respects and has embodied in it or annexed to it a copy of every such resolution and agreement as is referred to in section 380 of the Companies Act.
