Common use of Statutory Declaration Clause in Contracts

Statutory Declaration. Whenever Applicable Legislation requires that evidence referred to in Subsection y9.3(a) hereof be in the form of a statutory declaration, the Warrant Agent may accept such statutory declaration in lieu of a Certificate of the Corporation required by any provision hereof. Any such statutory declaration may be made by any one or more of the Chairman, President, Vice-President, Finance or Secretary of the Corporation or by any other officer(s) or director(s) of the Corporation to whom such authority is delegated by the directors from time to time. In addition, the Warrant Agent may act and rely and shall be protected in acting and relying upon any resolution, certificate, direction, instruction, statement, instrument, opinion, report, notice, request, consent, order, letter, telecopier transmission or other paper or document believed by it to be genuine and to have been signed, sent or presented by or on behalf of the proper party or parties.
