Step-in on Developer Breach. If the Required Action is taken as a result of a breach of the obligations of Developer under this Agreement and following the application of any relevant cure period herein, then for so long as and to the extent that the Required Action is taken, and this prevents Developer from carrying out any part of the Works: 25.5.1 Developer shall be relieved of its obligations to carry out such part of the Works; and 25.5.2 in respect of the period in which the Authority is taking the Required Action, any Noncompliance Event or Closure that arises as a direct result of the Required Action shall, for the purposes of this Agreement, be deemed to have not occurred, but an amount equal to all the Authority’s reasonable and proper costs of operation in taking the Required Action shall be deducted from the Monthly Disbursement.
