Step-in without Developer Breach Sample Clauses

Step-in without Developer Breach. If Developer is not in breach of its obligations under this Agreement, then for so long as and to the extent that the Required Action is taken, and to the extent this prevents Developer from performing its obligations under this Agreement: 25.4.1 Developer shall be relieved from performing its relevant obligations under this Agreement; and 25.4.2 in respect of the period in which the Authority is taking the Required Action and; provided, that Developer provides the Authority with reasonable assistance (such assistance to be at the expense of the Authority to the extent that incremental costs are incurred), such Required Action shall be deemed to be a Compensation Event for the purposes of this Agreement.
