Common use of Stock Award Acceleration and Extended Exercisability Clause in Contracts

Stock Award Acceleration and Extended Exercisability. The vesting of any outstanding unvested portion of each of the Executive’s Stock Awards shall be automatically accelerated on the date of termination (provided that the exercise of such Stock Awards shall be subject to the terms and conditions of the equity plan and any Stock Award agreement pursuant to which the Executive’s Stock Awards were granted). In addition, such Stock Awards may be exercised by the Executive or the Executive’s legal representative until the latest of (A) the date that is one (1) year after the date of the Executive’s termination of employment or (B) such longer period as may be specified in the applicable Stock Award agreement; provided, however, that in no event shall any Stock Award remain exercisable beyond the original outside expiration date of such Stock Award.
