Common use of Stock Certificates and Transfer Powers Clause in Contracts

Stock Certificates and Transfer Powers. The Seller shall deliver to the Purchasers at the Closing stock certificates representing the Shares along with a duly executed stock power separate from certificate (the “Stock Power Separate from Certificate”) in the form attached hereto as Exhibit A evidencing the transfer of the Shares, dated as of the Closing Date, as shall be effective to vest in the Purchaser good and marketable title to the Shares. The signature of the Seller on the Stock Power Separate from Certificate must be Medallion Guaranteed.

The Each Seller shall deliver to the Purchasers Purchaser at the Closing stock certificates representing the Shares held by such Seller along with a duly executed stock power assignment separate from certificate (the “Stock Power "Assignment Separate from Certificate”") in the form attached hereto as Exhibit A evidencing the transfer of the such Shares, dated as of the Closing Date, as shall be effective to vest in the Purchaser good and marketable title to the Shares. The signature of the Seller on the Stock Power Separate from Certificate must be Medallion Guaranteed.
