Common use of Stock Certificates; Fractional Shares Clause in Contracts

Stock Certificates; Fractional Shares. On or before the third (3rd) business day following the Exercise Date, the Company shall issue and deliver to the person or persons entitled to receive the same a certificate or certificates for the number of whole shares of Common Stock issuable upon such exercise, rounded down to the nearest whole share. No fractional shares or scrip representing fractional shares shall be issued upon an exercise of this Warrant.
