Common use of Stock Dividends, Stock Splits and Recapitalizations Clause in Contracts

Stock Dividends, Stock Splits and Recapitalizations. If dividends are declared and payable in kind, and in the event of a stock split, recapitalization or other transaction which causes shares to be issued or exchanged, the additional, issued, successor, substituted, and/or replacement shares shall bear the same characteristics, restrictions, rights, obligations, options and otherwise as the shares with respect to which such additional issued, successor, substituted and/or replacement shares arose, for all purposes and the Adjusted Original Price shall be further adjusted on a proportional basis to reflect such change.
