Common use of Stock Fully Paid; Reservation of Warrant Shares Clause in Contracts

Stock Fully Paid; Reservation of Warrant Shares. All of the Warrant Shares issuable upon the exercise of the Warrant will, upon issuance and receipt of the Warrant Price for such Warrant Shares, be duly authorized, validly issued, fully paid and nonassessable, and will be free and clear of all taxes, liens, encumbrances and charges with respect to the issue.

The Company shall have authorized and reserved for issuance sufficient shares of Equity Securities to permit the full exercise of this Warrant at or prior to the date on which this Warrant becomes exercisable.
