Common use of Stock Option Exercise Agreement Clause in Contracts

Stock Option Exercise Agreement. To exercise this Option, Participant (or in the case of exercise after Participant's death or incapacity, Participant's executor, administrator, heir or legatee, as the case may be) must deliver to the Company an executed stock option exercise agreement in the form attached hereto as Exhibit A, or in such other form as may be approved by the Company from time to time (the "EXERCISE AGREEMENT"), which shall set forth, inter alia, Participant's election to exercise the Option, the number of Shares being purchased, any restrictions imposed on the Shares and any representations, warranties and agreements regarding Participant's investment intent and access to information as may be required by the Company to comply with applicable securities laws. To exercise this Option, Participant (or in the case of exercise after Participant's ’s death or incapacityDisability, Participant's ’s legal representative, executor, administrator, heir or legatee, as the case may be) must deliver to the Company an executed stock option exercise agreement Stock Option Exercise Notice in the form attached hereto as Exhibit A, or in such other form as may be approved by the Company from time to time (the "EXERCISE AGREEMENT"“Exercise Notice”), which shall set forth, inter alia, Participant's ’s election to exercise the Option, the number of Shares being purchased, any restrictions imposed on the Shares and any representations, warranties and agreements regarding Participant's ’s investment intent and access to information as may be required by or desirable for the Company Company, in its determination, to comply with applicable securities laws. If someone other than Participant exercises the Option, then such person must submit documentation reasonably acceptable to the Company that such person has the right to exercise the Option.

Stock Option Exercise Agreement. To exercise this Option, the Participant (or in the case of exercise after the Participant's ’s death or incapacity, the Participant's ’s executor, administrator, heir or legatee, as the case may be) must deliver to the Company an executed stock option exercise agreement in the form attached hereto as Exhibit A, or in such other form as may be approved provided by the Company from time to time (the "EXERCISE AGREEMENT"“Exercise Agreement”), which shall set forth, inter alia, (a) the Participant's ’s election to exercise the Option, (b) the number of Shares being purchased, (c) any restrictions imposed on the Shares Shares, and (d) any representations, warranties and or agreements regarding the Participant's ’s investment intent and access to information as may be required by the Company to comply with applicable securities laws. If someone other than the Participant exercises the Option, then such person must submit documentation reasonably acceptable to the Company verifying that such person has the legal right to exercise the Option. The Participant may withdraw notice of exercise of the Option, in writing, at any time prior to the close of business on the business day that immediately precedes the proposed exercise date.
