STOCK OPTIONS, WARRANTS AND STOCK APPRECIATION RIGHTS. Notwithstanding the foregoing, all stock options, warrants, stock appreciation rights and other similar securities shall immediately vest upon the occurrence of a Change of Control and at such time all conditions applicable to contingently issued options, warrants, stock appreciation rights and other securities shall be deemed waived by the Company.
