Stock Payment at Closing Sample Clauses

Stock Payment at Closing. The balance of $400,000.00 worth of ARE common stock (the exact number of shares to be determined on the day of Closing based on market value of that stock use a trailing average of the ten (10) trading days prior to the Closing) delivered to Seller on the date upon which the transaction contemplated by the Agreement are consummated (the "Closing Date" and such consummation the "Closing"). Additionally there will be restrictions (that Seller must agree to in writing) placed on this common stock to be received by Seller. These restrictions will regulate the amount of shares that can be sold on the open market by Seller as well as the timing of those sales.
