Stock Percentage. On or before May 18, 2018, the Company shall provide to Parent (a) a list of each Company Equityholder, (b) a determination of the percentage of Stock Consideration and the percentage of Cash Consideration to be paid to each such Company Equityholder, and (c) the percentage of the Aggregate Merger Consideration that will be Stock Consideration (the “Total Stock Consideration Percentage,” with the balance being referred to herein as the “Total Cash Consideration Percentage,” such that they sum to 100%) to be paid to all Company Equityholders on an aggregate basis.
