The Parent Common Stock at the Closing will be listed or quoted on the OTCBB or on the Nasdaq Stock Market, LLC or the NYSE Alternext US LLC if such listing or quotation shall be required as a condition to the effectiveness of the Parent Credit Facility and there will be no action or proceeding pending or threatened against Parent to prohibit or terminate such listing or quotation.
