Stock Quotations Clause Samples
The Stock Quotations clause defines how the prices or values of stocks are determined and referenced within the agreement. Typically, it specifies which stock exchange or quotation service will be used as the authoritative source for stock prices, and may outline the timing or method for obtaining these quotations, such as using the closing price on a particular day. This clause ensures consistency and clarity in valuing stocks for transactions, settlements, or calculations, thereby preventing disputes over which price should be used.
Stock Quotations. Deliverables fulfilling stock quotations may only be used for the stocking of the Customer’s shelves. Deliverables purchased under Stock Quotations can be redistributed to other Customer branch locations or re-sold to other resellers or used for aftermarket sales, end-user annual contracts or sold over the counter to any walk in trade.
Stock Quotations. Deliverables fulfilling stock quotations may only be used for the following: i) Stocking of the Customer’s shelves for small, quick-turn, discretionary projects, or ii) Sale to a general contractor or installer for new construction. Stock quotations may not be used for any project containing any Company no- substitution, specified products. Deliverables purchased under Stock Quotations cannot be redistributed to other Customer branch locations or re-sold to other resellers or used for aftermarket sales, end-user annual contracts or sold over the counter to any walk in trade.
Stock Quotations. The Shares are currently listed and traded on the OTCBB, which constitutes the principal trading market for the Shares. Depending upon the aggregate market value and the number of Shares not purchased pursuant to the Offer, the Shares may no longer meet the standards for continued listing on the OTCBB. If, as a result of the purchase of Shares pursuant to the Offer, the Shares no longer meet the requirements for continued listing on the OTCBB, the market for the Shares could be adversely affected. In the event the Shares are no longer eligible for listing on the OTCBB, quotations might still be available from other sources. The extent of the public market for the Shares and the availability of such quotations would, however, depend upon the number of holders of such Shares at such time, the interest in maintaining a market in such Shares on the part of securities firms, the possible termination of registration of such Shares under the Exchange Act as described below and other factors.
Stock Quotations. The Shares are currently listed and traded on the NYSE, which constitutes the principal trading market for the Shares. Depending upon the aggregate market value and the number of Shares not purchased pursuant to the Offer, the Shares may no longer meet the standards for continued listing on the NYSE. According to its published guidelines, the NYSE would give consideration to delisting the Shares if, among other things, the number of publicly held Shares falls below 600,000, the number of holders of round lots of Shares falls below 400 (or below 1,200 if the average monthly trading volume is below 100,000 for the last twelve months) or the aggregate market value of such publicly held Shares falls below $8,000,000. Shares held by officers or directors of the Company or their immediate families, or by any beneficial owner of more than 10% or more of the Shares, ordinarily will not be considered as being publicly held for this purpose. If, as a result of the purchase of Shares pursuant to the Offer, the Shares no longer meet the requirements for continued listing on the NYSE, the market for the Shares could be adversely affected. In the event the Shares are no longer eligible for listing on the NYSE, quotations might still be available from other sources.
