STOCKHOLDER EMPLOYMENT AGREEMENTS. At or immediately prior to Closing, each Stockholder who is an employee of the Company shall terminate his employment agreement, if any, with the Company by mutual consent without any liability on the part of the Company therefor, and shall enter into a Stockholder Employment Agreement in the form appended hereto as Exhibit 8.3 with Acquiror (the "Stockholder Employment Agreements").
