As used in this paragraph 6.1 and subject to paragraph 6.1.2 below, the term "Stockholder Liability" means any losses, claims, damages or liabilities under the Act with respect to the registrationregistration statement, including any preliminary prospectus or final prospectus and any amendments or supplements thereto, arising out of or based upon (a) any untrue or alleged untrue statement of material fact contained therein or (b) the omission or alleged omission to state therein a material fact required to be stated therein, or necessary to make the statements therein not misleading.
