Common use of Stockholders’ Representative Clause in Contracts

Stockholders’ Representative. (a) Each holder of Partner Common Stock and each Beneficial Owner, by signing this Agreement, designates Xxxxxxx Xxxxx Xxxxx or, in the event that Xxxxxxx Xxxxx Xxxxx is unable or unwilling to serve, Xxxxx Xxxx to be the Stockholders' Representative for purposes of this Agreement. The Stockholders and the Beneficial Owners shall be bound by any and all actions taken by the Stockholders' Representative on their behalf.
