Stop Transfer Instructions; No Requirement to Transfer. The Shareholder agrees that, in order to ensure compliance with the restrictions referred to herein, Pubco may issue appropriate “stop transfer” instructions to its transfer agent. Pubco shall not be required (a) to transfer or have transferred on its books any Securities that have been sold or otherwise transferred in violation of any of the provisions of this Shareholder Representation Letter or the Agreement or (b) to treat as owner of such Securities or to accord the right to vote or pay dividends to any shareholder or other transferee to whom such Securities shall have been so transferred in violation of any provision of this Shareholder Representation Letter or the Agreement.

Prism shall not be required (i) to transfer or have transferred on its books any Prism Common Stock that has been sold or otherwise transferred in violation of any of the provisions of this Agreement or (ii) to treat as owner of such Prism Common Stock or to accord the right to vote or pay dividends to any purchaser or other transferee to whom such Prism Common Stock shall have been so transferred in violation of any provision of this Agreement. Prism agrees that such stop transfer instructions and legends will be promptly removed if the provisions of the Securities Act are complied with.

VeriSign shall not be required (i) to transfer or have transferred on its books any VeriSign Common Stock that has been sold or otherwise transferred in violation of any of the provisions of this Agreement or the Registration Rights Agreement or (ii) to treat as owner of such VeriSign Common Stock or to accord the right to vote or pay dividends to any purchaser or other transferee to whom such VeriSign Common Stock shall have been so transferred in violation of any provision of this Agreement, the Registration Rights Agreement or the SecureIT Affiliates Agreement. VeriSign agrees that such stop transfer instructions and legends will be promptly removed if the provisions of the Registration Rights Agreement, the SecureIT Affiliates Agreement and the Securities Act are complied with.

GCAN shall not be required (a) to transfer or have transferred on its books any Securities that have been sold or otherwise transferred in violation of any of the provisions of this Shareholder Representation Letter or the Agreement or (b) to treat as owner of such Securities or to accord the right to vote or pay dividends to any shareholder or other transferee to whom such Securities shall have been so transferred in violation of any provision of this Shareholder Representation Letter or the Agreement.

Buyer shall not be required (a) to transfer or have transferred on its books any shares that have been sold or otherwise transferred in violation of any of the provisions of this Agreement or (b) to treat as owner of such shares or to accord the right to vote or pay dividends to any purchaser or other transferee to whom such shares shall have been so transferred in violation of any provision of this Agreement.

TSI shall not be required (i) to transfer or have transferred on its books any TSI Common Stock that has been sold or otherwise transferred in violation of any of the provisions of this Agreement or (ii) to treat as owner of such TSI Common Stock or to accord the right to vote or pay dividends to any purchaser or other transferee to whom such TSI Common Stock shall have been so transferred in violation of any provision of this Agreement. TSI agrees that such stop transfer instructions and legends will be promptly removed if the provisions of the Securities Act are complied with.

Each of the INTEGRAL NETWORKING Shareholders agrees that, in order to ensure compliance with the restrictions referred to herein, CRL Network may issue appropriate "stop transfer" instructions to its transfer agent. CRL Network shall not be required (i) to transfer or have transferred on its books any CRL Network Common Stock that has been sold or otherwise transferred in violation of any of the provisions of this Agreement or (ii) to treat as owner of such CRL Network Common Stock or to accord the right to vote or pay dividends to any purchaser or other transferee to whom such CRL Network Common Stock shall have been so transferred in violation of any provision of this Agreement. CRL Network agrees that such stop transfer instructions and legends will be promptly removed if the provisions of the Securities Act are complied with.
