Common use of Stop Transfer Order; Legend Clause in Contracts

Stop Transfer Order; Legend. In furtherance of this Agreement, concurrently herewith, each Stockholder shall, and hereby does authorize the Company or its counsel to, notify the Company’s transfer agent that there is a stop transfer order with respect to all of the Covered Shares of such Stockholder (and that this Agreement places limits on the voting and transfer of such Covered Shares).

In furtherance of this Agreement, and concurrently herewith, each Stockholder shall, shall and hereby does authorize the Company or its counsel tothe Company’s counsel, and the Company hereby does covenant and agree, to notify the Company’s transfer agent that there is a stop transfer order with respect to all of the Covered Shares Voting Shares. Stockholder and/or the Company shall cause to be provided to Parent evidence of such Stockholder (and that this Agreement places limits on stop transfer order as promptly as reasonably practicable after the voting and transfer of such Covered Shares)date hereof.

The Stockholder agrees as promptly as is reasonably practicable to apply a legend to all certificates representing the Subject Shares referring to any and all rights granted to Parent by this Agreement; provided that, no such legend shall restrict the transfer of the Subject Shares if such transfer is made pursuant to the Offer.

The parties hereto agree that such stop transfer order shall be removed and shall be of no further force and effect upon termination of this Agreement.
