Strategic Planning Services. The Consultant shall provide the following strategic planning services to the Company. The Consultant will undertake for, and consult with the Company as to, the management, marketing, consulting, strategic planning, corporate organization and structure, financial matters in connection with the operation of the business of the Company, expansion of services, and shall review and advise the Company regarding its overall progress, needs and condition. The Consultant agrees to provide on a timely basis the following enumerated services plus any additional services contemplated thereby:
(a) Assisting the Company in the monitoring of services provided by the Company’s advertising firm, public relations firm and other non-legal professionals to be employed by the Company.
(b) Advising the Company on the continued development of a customer relations program and the stimulation of interest in the Company by institutional investors and other members of the financial community.
Strategic Planning Services. The following strategic planning services shall be provided to the company by the Consultant which will undertake for and consult with the Company concerning management, marketing, consulting, strategic planning, corporate organization and structure, financial matters in connection with the operation of the business of the Company, expansion of services, and shall review and advise the Company regarding its overall progress, needs and condition. The Consultant agrees to provide on a timely basis the following enumerated services plus any additional services contemplated thereby:
(a) Advise the Company in the implementation of short and long term strategic planning to fully develop and enhance the Company's assets, resources, products and services.
(b) Advise the Company relative to the recruitment and employment of key executives consistent with the expansion of operations of the Company.
(c) Advise and recommend to the Company additional services relating to the present business and services provided by the Company as well as new products and services that may be provided by the Company.
(d) Advise the officers and employees of the company concerning matters relating to the management and organization of the company, their financial policies, the terms and conditions of employment, and generally any matter arising out of the business affairs of the company.
Strategic Planning Services. Relating to its assistance with respect to the Financing, Kuhns Brothers shall provide the Compxxx xith strategic planning services. Kuhns Brothers strategic planning serxxxxx shall include, but not be limited to, the following:
(i) advice regarding the Company's business plan; (ii) advice regarding formation of the Company's corporate goals and their implementation; (iii) advice regarding corporate organization, personnel and the related selection of needed specialty skills; (iv) general corporate documentation preparation and assistance, including services relating to assisting the Company in preparation of its business plan and related materials, including regulatory and filing documentation; (v) assistance regarding preparation and organization of the Company's corporate paperwork. Kuhns Brothers' assistance with stxxxxxic planning services shall be provided in the best interest of the Company on a best efforts basis.
Strategic Planning Services. Relating to its assistance with respect to the Financing, Kxxxx Brothers shall provide the Company with strategic planning services. Kxxxx Brothers strategic planning services shall include, but not be limited to, the following:
(i) advice regarding the Company’s business plan; (ii) advice regarding formation of the Company’s corporate goals and their implementation; (iii) advice regarding corporate organization, personnel and the related selection of needed specialty skills; (iv) general corporate documentation preparation and assistance, including services relating to assisting the Company in preparation of its business plan and related materials, including regulatory and filing documentation; (v) assistance regarding preparation and organization of the Company’s corporate paperwork.
Strategic Planning Services. Administrator shall provide to OLPG the strategic planning services described on Exhibit A-1.
Strategic Planning Services. During the Term of this Agreement, Administrator, through its employees, subcontractors, vendors, and agents, shall provide the below-listed Administrative Services. In accordance with Section 5.3, OLPG shall pay Administrator for the Reimbursable Costs incurred in performing the Administrative Services set forth below.
Strategic Planning Services. Snap-on will provide the following strategic planning services for Company: develop long-term policy-oriented plans to identify core competencies; devise plans and strategies respecting the development of new markets, products and programs; and assess existing programs and establish financial targets and profitability goals. Snap-on shall not be required to devote more than 20 employee hours to the performance of services under this Section during any one calendar quarter.
Strategic Planning Services. Personal services rendered by senior corporate management of Videotron in providing consultation and guidance to the Corporation's management regarding long-term corporate goals and strategies. Compensation for these services is calculated based on an assumed 72 person days per year, at cost (without allowance for profit), and is estimated at US$80,000 per year.
Strategic Planning Services. Strategic planning sessions with PTC executives, with such sessions to be on a periodic basis as mutually agreed from time to time.
Strategic Planning Services. For the strategic planning Services described in Section 1.1(a) above, PTC shall issue to Consultant a one-time grant of PTC’s common stock, $.01 par value per share, as an award of restricted stock pursuant to PTC’s 2000 Equity Incentive Plan in an amount equal to $40,000 on date of grant (based on the closing price of PTC’s common stock on such date, the “Shares”), the restrictions on which shall lapse in their entirety on the one year anniversary of the grant date or as otherwise set forth in the form of Restricted Stock Agreement attached hereto as Appendix A.
