Common use of Structure Chart Clause in Contracts

Structure Chart. 11.25.1 the Structure Chart delivered or to be delivered to the Agent pursuant to Part II of Schedule 2 is, so far as the Borrower is aware, true, complete and accurate in all material respects and shows the following information: (a) each relevant member of the Group, including current name and company registration number, its jurisdiction of incorporation and/or establishment and (other than in the case of the Guarantor) a list of shareholders; and (b) all minority interests in any member of the Borrower and any person in which the Borrower holds shares in its issued share capital or equivalent ownership interest of such person. 11.25.2 All necessary loans, transfers, share exchanges and other material steps resulting in the final structure as set out in the Structure Chart have been or will be taken in compliance with all relevant laws and regulations and all requirements of relevant regulatory authorities.

Structure Chart. 11.25.1 11.26.1 the Structure Chart delivered or to be delivered to the Agent pursuant to Part II I of Schedule 2 is, so far as the Borrower is aware, true, complete and accurate in all material respects and shows the following information: (ai) each relevant member of the GroupGroup and the Target, including current name and company registration number, its jurisdiction of incorporation and/or establishment and (other than in the case of the Guarantor) a list of shareholders; and (bii) all minority interests in any member of the Borrower Target and any person in which the Borrower Target holds shares in its issued share capital or equivalent ownership interest of such person. 11.25.2 11.26.2 All necessary intra-Group loans, transfers, share exchanges and other material steps resulting in the final structure as set out in of the Structure Chart relevant portion of the Group and, following the Acquisition, of the Target have been or will be taken in compliance with all relevant laws and regulations and all requirements of relevant regulatory authorities.
