Structuring Agent Agreement. The Structuring Agent agrees to act as a structuring agent for the Republic in connection with the issuance of the Notes, and shall provide customary services as appropriate in engagements of this type and as mutually agreed upon by the Republic and the Structuring Agent in relation to the structuring of the Notes (the “Services”). The Structuring Agent may provide the Services directly or through one or more of its affiliates, each of which affiliates shall, to the extent applicable, be entitled to the benefits of, and be subject to the terms of, this Agreement.
