Common use of Structuring Fees Clause in Contracts

Structuring Fees. Each of the parties shall pay its own fees and expenses (including the fees of any attorneys, accountants, appraisers or others engaged by such party) in connection with this Agreement and the transactions contemplated hereby, except that the Company will pay Fifteen Thousand Dollars ($15,000) to Yorkville Advisors Management, LLC as a structuring fee which shall be paid on the date hereof. This structuring fee shall be deemed fully earned on the date hereof. Subsequently on each Advance Date, the Company shall pay Yorkville Advisors Management, LLC a structuring fee of Five Hundred Dollars ($500). In addition, the Company has paid to the Yorkville Advisors Management LLC a non-accountable due diligence fee of Five Thousand Dollars ($5,000). This fee is deemed fully earned.
