Common use of Structuring Fees Clause in Contracts

Structuring Fees. Each of the parties shall pay its own fees ----------------- and expenses (including the fees of any attorneys, accountants, appraisers or others engaged by such party) in connection with this Agreement and the transactions contemplated hereby, except that the Company has previously paid a structuring fee of Twenty Thousand Dollars ($20,000) to Yorkville Advisors Management, LLC. Subsequently on each advance date, the Company will pay Yorkville Advisors Management, LLC the sum of Five Hundred Dollars ($500) for legal, administrative and escrow fees and any outstanding fees and expenses of Kirkpatrick & Lockhaxx Xxxxxxxon Gxxxxx XXP xxxxxxxx xxx xxx proceeds of any Advances hereunder.
