Student Educational Records. Student educational records are protected by the federal Family Educational Rights and Privacy Act, 20 U.S.C. § 1232g (FERPA). Supplier will comply with FERPA and will not access or make any disclosures of student educational records to third parties without prior notice to and consent from Member or as otherwise provided by law.

If this Agreement contains a scope of work or any provision that requires or permits Facility to access or release any student records, then, for purposes of this Agreement only, ASU hereby designates Facility as a “school official” for ASU under FERPA, as that term is used in FERPA and its implementing regulations. As such, Facility will comply with FERPA and will not make any disclosures of ASU students’ educational records to third parties without prior notice to, and consent from, ASU or as otherwise permitted by law. In addition, any access or disclosures of student educational records made by Facility or its employees and agents must comply with ASU’s definition of legitimate educational purpose, which definition can be found at: SSM 107-01: “Release of Student Information” (xxxx://xxx.xxx.xxx/aad/manuals/ssm/ssm107-01.html). If Facility violates the terms of this section, Facility will immediately provide notice of the violation to ASU.

The Parties agree to treat personally identifiable information contained in the Enrolled Students educational records as confidential and will not release such information to third parties without the written consent of the Enrolled Student(s) whose educational records are sought. Both parties agree to comply with all laws, including, but not limited to, all state and federal laws regarding confidentiality and that otherwise might impact this Agreement, including the Family Education Rights and Privacy Act (FERPA)(20 U.S.C. § 1232g; 34 CFR Part 99) and the Health Insurance Portability and Accountability Act (HIPAA) ( Pub.L. 104–191).

Any disclosures made by the Facility will comply with the University’s definition of “legitimate educational interest.” Facility agrees and warrants that it shall use student educational records solely to accomplish its obligations under this agreement and solely in a manner and for purposes consistent with the terms and conditions of this agreement and University policies and procedures. Facility agrees and warrants that it shall not make any disclosures of student educational records without prior notice to and consent from the University. If any designated representative discloses or misuses any educational record, the University and/or Facility will take appropriate action against the designated representative that is similar to action ASU would take against one of its employees who disclosed or misused the educational records of its students.

If this Agreement requires or permits the Facility to access or release any student records, then for the purposes of this Agreement only, the University designates the Facility as a “school official” for the University under FERPA, as that term is used in FERPA.

Both parties shall instruct the students who are placed pursuant to this Agreement regarding the requirements of FERPA.
