Sub-Advisory Fee. The Fund shall pay to the Sub-Adviser from the Fund’s assets the annual fee shown on Exhibit B, attached hereto. The Sub-Adviser shall look exclusively to the assets of the Fund for payment of the Sub-Adviser’s fee. Except as may otherwise be prohibited by law or regulation (including any then current SEC staff interpretations), the Sub-Adviser may, in its sole discretion and from time to time, waive a portion of its fee.
