Sub-license Fees Clause Samples
Sub-license Fees. In the event of sub-licensing, EMPIRICA shall pay to the Representative of the INSTITUTIONS [***] on all non-royalty payments received by EMPIRICA from the Sub-Licensee for each of the Therapeutic Products as set out below:
(i) All cumulative payments received by Empirica up to and including [***];
(ii) All cumulative payments received by Empirica after [***];
(iii) All cumulative payments received by Empirica after [***];
(iv) All cumulative payments received by Empirica [***];
(v) All cumulative payments received by Empirica [***] ; and
(vi) All cumulative payments received by Empirica [***]. Sub-License Fees accrued to the Institutions at the amount specified by milestone (i), (ii), and (iii) defined here in Section 3.3.1 for each of the Therapeutic Products prior to sub-licensing and are payable by Empirica upon entering into a definitive sub-license agreement.
Sub-license Fees. In further consideration of the right granted by the Licensor to the Licensee as set out in Section 2.4 of this Agreement, the Licensee agrees to pay the Licensor an amount equal to 25% of all monies and all other considerations paid to and received by the Licensee from its sub-licensee(s) for the sub-license(s).
Sub-license Fees. If the Licensee sub-licenses any rights under this Agreement to a Third Party, the Licensee shall pay UT twenty-five percent (25%) of the upfront sub-license fees and any periodic milestone payments, sub-license maintenance fees, sub-license milestone payments and similar non-royalty payments made by sub-licensees to Licensee on account of sub-licenses pursuant to this Agreement (the "Sub-License Fees").
Sub-license Fees. In addition, POINT shall pay to SCI a share of [***]% ([***] percent) of the Sub-license Income. For the avoidance of doubt, portions of any payments made to POINT by Sub-licensee in order to fulfil POINT’s Milestone Payment obligations under section 4.1 not be included in the calculation of Sub-license Income under this section 4.3, though the remainder of such payment shall be considered Sub-license Income.
8. A new Section 4.5 “Minimum license fee” shall be added such, that a performance obligation is integrated in the Agreement:
