Subaward Closeout. 1. The closeout of the Federal Award, or this Subaward, does not affect any of the following: a. The right of the Federal Awarding Agency or the County to disallow costs and recover funds on the basis of a later audit or other review. The Federal Awarding Agency or County must make any cost disallowance determination and notify the Subrecipient within the record retention period. b. The requirement for the Subrecipient to return any funds due as a result of later refunds, corrections, or other transactions including final indirect cost rate adjustments. c. The ability of the Federal Awarding Agency to make financial adjustments to a previously closed award such as resolving indirect cost payments and making final payments. d. Audit requirements in 2 CFR Part 200, Subpart F (or, for HHS awards: 45 CFR Part 75, Subpart F). e. Property management and disposition requirements in §§ 200.310 through 200.316 of 2 CFR Part 200 (or, for HHS awards: 45 CFR §§ 75.316 through 75.325). f. Records retention as required in §§ 200.334 through 200.338 of 2 CFR Part 200 (or, for HHS awards: 45 CFR §§ 75.361 through 75.370). 2. After closeout of the Federal Award, or this Subaward, a relationship created under the Federal Award, or this Subaward, may be modified or ended in whole or in part with the consent of the Federal Awarding Agency or the County and the Subrecipient, provided the responsibilities of the Subrecipient, including those for property management as applicable, are considered and provisions made for continuing responsibilities of the Subrecipient, as appropriate.

After closeout of the Federal Award, or this Subaward, a relationship created under the Federal Award, or this Subaward, may be modified or ended in whole or in part with the consent of the Federal Awarding Agency or the County and the Subrecipient, provided the responsibilities of the Subrecipient, including those for property management as applicable, are considered and provisions made for continuing responsibilities of the Subrecipient, as appropriate.

Subaward Closeout. Upon termination or expiration of this Agreement, Participant shall deliver to MassTech all written and tangible work product, whether in draft or final form at the time of termination, identified as Deliverables or associated with the activities in the SOW for which payment has been made, and all other property of MassTech, and all copies thereof in the direct or indirect possession or control of Participant, up to and including the date of termination. Final payment request(s) under this Agreement must be received by MassTech no later than thirty (30) days from the earlier of the expiration date or termination date of this Agreement. No payment request will be accepted by MassTech after this date without authorization from MassTech. In consideration of the execution of this Agreement by XxxxXxxx, Participant agrees that acceptance of final payment from MassTech will constitute an agreement by Participant to release and forever discharge MassTech, its agents, employees, representatives, affiliates, successors and assigns from any and all claims, demands, damages, liabilities, actions, causes of action or suits of any nature whatsoever, which Participant has at the time of acceptance of final payment or may thereafter have, arising out of or in any way relating to any and all injuries and damages of any kind as a result of or in any way relating to this Agreement. Participant’s obligations to MassTech under this Agreement shall not terminate until all closeout requirements are completed to the satisfaction of MassTech. Such requirements shall include, without limitation, submitting final reports to MassTech and providing any closeout-related information requested by MassTech by the deadlines specified by MassTech.

Subaward Closeout. Prior to the end date of the subaward, TIFA staff will discuss the requirements for closeout with subrecipients—including USG requirements and a timeline for the remaining milestones or special award conditions. For subawards where all milestones are completed and paid, a closeout letter will be signed by both parties which states that the conditions of the grant have been met and paid. Any milestones that are not achieved by the end date will be removed from the subaward by a closeout amendment, also signed by both parties. Determine that the subrecipient has completed its programmatic performance under the subaward and all applicable administrative actions; or b. Terminate the subaward, if you do so prior to completion of the subrecipient’s programmatic performance. 2. With respect to the closeout of each subaward: a. You must pay the subrecipient promptly for allowable and reimbursable costs. b. Consistent with the terms and conditions of the subaward, you must make a settlement for any upward or downward adjustments to the Federal share of costs after you receive the information you need from the subrecipient to close out the subaward. c. You should complete the closeout of the subaward no later than one year after you receive and accept the final reports and other information from the subrecipient that you need to close out the subaward.
