Common use of Subcontracts Clause in Contracts

Subcontracts. The goals of this subtask are to: (1) procure subcontracts required to carry out the tasks under this Agreement; and (2) ensure that the subcontracts are consistent with the terms and conditions of this Agreement. The Recipient shall: • Manage and coordinate subcontractor activities in accordance with the requirements of this Agreement. • Incorporate this Agreement by reference into each subcontract. • Include any required Energy Commission flow-down provisions in each subcontract, in addition to a statement that the terms of this Agreement will prevail if they conflict with the subcontract terms. • If required by the CAM, submit a draft of each Subcontract required to conduct the work under this Agreement. • Submit a final copy of the executed subcontract. • Notify and receive written approval from the CAM prior to adding any new subcontractors (see the discussion of subcontractor additions in the terms and conditions).
