Common use of Subdivision or Combination of Common Stock and Stock Dividends Clause in Contracts

Subdivision or Combination of Common Stock and Stock Dividends. In -------------------------------------------------------------- case the Company shall at any time after the date hereof (a) issue any shares of Common Stock as a dividend upon Common Stock, or (b) issue any shares of Common Stock by reclassification or otherwise, or (c) combine outstanding shares of Common Stock, by reclassification or otherwise, the Exercise Price which would apply if purchase rights hereunder were being exercised immediately prior to such action by the Company shall be adjusted by multiplying it by a fraction, the numerator of which shall be the number of shares of Common Stock outstanding immediately prior to such dividend, subdivision or combination and the denominator of which shall be the number of shares of Common Stock outstanding immediately after such dividend, subdivision or combination.
