Common use of Subdivisions, Combinations and Dividends Clause in Contracts

Subdivisions, Combinations and Dividends. In case the Company shall at any time subdivide its outstanding Shares into a greater number of shares or pay a dividend in Shares in respect of outstanding Shares, the Per-Share Exercise Price in effect immediately prior to such subdivision or at the record date of such dividend shall be proportionately reduced, and conversely, in case the outstanding shares of the Shares of the Company shall be combined into a smaller number of shares, the Per-Share Exercise Price in effect immediately prior to such combination shall be proportionately increased.
