Subject to Article 12 Clause Samples

The "Subject to Article 12" clause establishes that the provisions or obligations referenced are governed or limited by the terms set out in Article 12 of the agreement. In practice, this means that any rights, duties, or processes described elsewhere in the contract must be interpreted in light of, or are conditional upon, the stipulations found in Article 12. For example, if a party's obligation to deliver goods is "subject to Article 12," then any exceptions, procedures, or limitations in Article 12 will take precedence. This clause ensures consistency and prevents conflicts by clarifying that Article 12's terms override or qualify related provisions, thereby promoting clarity and reducing the risk of disputes.
Subject to Article 12. 2 (a), (a) the members of a directors’ committee may meet and adjourn as they think proper, (b) a directors’ committee may elect a chair of its meetings but, if no chair of the meeting is elected, or if at any meeting the chair of the meeting is not present within 15 minutes after the time set for holding the meeting, the directors present who are members of the committee may choose one of their number to chair the meeting, (c) a majority of the members of a directors’ committee constitutes a quorum of the committee, and (d) questions arising at any meeting of a directors’ committee are determined by a majority of votes of the members present, and in case of an equality of votes, the chair of the meeting has no second or casting vote.

This section does not prohibit Provider from using Student Data (i) for adaptive learning or customized student learning (including generating personalized learning recommendations); or (ii) to make product recommendations to teachers or LEA employees; or (iii) to notify account holders about new education product updates, features, or services or from otherwise using Student Data as permitted in this DPA and its accompanying exhibits.
