Notwithstanding the foregoing, nothing in this Section 4.12 shall prohibit (i) the occurrence of the Holdings Merger or (ii) any Subsidiary of the Company or Holdings from consolidating with, merging into, or selling, conveying, transferring, leasing or otherwise disposing of all or part of its property and assets to the Company or Holdings or any Restricted Subsidiary of the Company or Holdings.
Subject to Articles. 47 (Voting Restrictions), upon any resolution proposed at a general meeting of the Company on a show of hands and on a poll every Shareholder who is present in person or by proxy shall have one (1) vote in respect of each Share registered in his/her/its name and on a vote on a written resolution of the Shareholders every Shareholder shall have one (1) vote in respect of each Share registered in his/her/its name.
