Subject to Clawback Policy. 9.1 Notwithstanding any other provision herein, the Executive acknowledges and agrees that entitlements to any and all incentive compensation hereunder (including any portion thereof) and/or any payments in respect thereof shall be expressly subject to the terms and conditions of the Corporation’s “Incentive Compensation Clawback Policy” (the “Policy”), attached hereto as Schedule “A”, as same may be amended by the Corporation from time to time. Without limiting the generality of the foregoing, the provisions of this Agreement shall at all times be interpreted so as to be expressly subject to the provisions of the Policy.
