Subject to Master Lease. This Sublease is and shall be at all times subject and subordinate to the Master Lease. Subtenant acknowledges that Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions of the Master Lease. Additionally, Subtenant’s rights under this Sublease shall be subject to the terms of the Consent. During the Term and for all periods subsequent thereto with respect to obligations which have arisen prior to the termination of this Sublease, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions of the Master Lease which are directly contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease.
Subject to Master Lease. Except as specifically set forth herein, this Sublease is subject and subordinate to all of the terms and conditions of the lease (the "Original Lease") dated April 24, 1997, between Casiopea Venture Corporation ("Master Lessor") and Sublessor's assignor, Qualix Group, Inc., as Lessee. Unless otherwise defined, all capitalized terms used herein shall have the same meanings as given them in the Master Lease. Sublessee shall not commit or permit to be committed any act or omission which would violate any term or condition of the Master Lease. Sublessee shall neither do nor permit anything to be done which would cause the Master Lease to be terminated or forfeited by reason of any right of termination or forfeiture reserved or vested in Master Lessor under the Master Lease, and Sublessee shall indemnify and hold Sublessor harmless from and against all liability, judgments, costs, demands, claims, and damages of any kind whatsoever (including, without limitation, attorneys' fees and court costs) by reason of any failure on the part of Sublessee to perform any of the obligations of Lessee under the Master Lease which Sublessee has become obligated hereunder to perform. In the event of the termination of Sublessor's interest as Lessee under the Master Lease, then this Sublease shall terminate automatically upon such termination without any liability of Master Lessor to Sublessee. In the event of the termination of Sublessor's interest as Lessee under the Master Lease for any reason other than for Sublessor's breach, then this Sublease shall terminate automatically upon such termination without any liability of Sublessor to Sublessee. Sublessee represents and warrants to Sublessor that it has read and is familiar with the Master Lease. Sublessor represents and warrants that (i) the copy of the Master Lease attached hereto as Exhibit D is a true and complete copy of the Master Lease and all amendments, modifications, written side letter agreements and recorded memoranda of leases with respect thereto, (ii) Sublessor has not already assigned its interest in the Master Lease or sublet any of the Subleased Premises, and (iii) as of the date hereof, the Master Lease is in full force and effect and no defaults exist on the part of Sublessor or, to the best of Sublessor’s knowledge, Master Lessor under the terms of the Master Lease. Sublessor shall not assign, terminate or amend the Master Lease (or the Building 5 Master Lease provided that Sublesssee’s ROFO is in full force and effect) without the prior written consent of Sublessee, which consent may be withheld in Sublessee’s sole discretion.

Sublandlord agrees to keep the Master Lease in full force and effect for the benefit of Subtenant, except with respect to (i) a mutual agreement of the Subtenant and Sublandlord to terminate this Sublease (or terminate the Master Lease and enter in to a direct lease) and (ii) Sublandlord's termination of this Sublease in accordance with the terms and conditions of this Sublease.
C. The subleasing of the Demised Premises shall in no way relieve Sublandlord from its obligations under the Master Lease or PILOT Agreement; and SCIDA's Unassigned Right under the Master Lease shall remain in full force and effect.
Subject to Master Lease. This Sublease is subject and subordinate to the Master Lease. Capitalized terms which are used but not defined in this Sublease shall have the meaning ascribed to such terms in the Master Lease. Sublandlord covenants and agrees to observe, perform and discharge all of its duties and obligations under and pursuant to the terms of the Master Lease as and when required thereby, and to provide Subtenant with true and correct copies of all notices and other written communications sent or received by Sublandlord with respect to the Master Lease within five (5) business days of its sending or receipt thereof.
