Subject to Master Lease. This Sublease is and shall be at all times subject and subordinate to the Master Lease. Subtenant acknowledges that Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions of the Master Lease. Additionally, Subtenant’s rights under this Sublease shall be subject to the terms of the Consent. During the Term and for all periods subsequent thereto with respect to obligations which have arisen prior to the termination of this Sublease, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions of the Master Lease which are directly contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease.

Subject to Master Lease. This Sublease is and shall be at all times subject and subordinate to the Master Lease. Subtenant acknowledges that Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions of the Master Lease. Those provisions of the Master Lease which are applicable to the Subleased Premises and are expressly stated in the Master Lease to survive the expiration or termination of the Master Lease shall survive the expiration or termination of this Sublease. During the Term, with respect to Subtenant’s use and occupancy of the Subleased Premises, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions of the Master Lease which are contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease.

Subject to Master Lease. (a) Notwithstanding anything to the contrary contained herein, it is expressly understood and agreed by and between Landlord and Tenant that this Lease is a sublease and is subject to the Master Lease, as supplemented by that certain Consent to Sublease Agreement dated of even date herewith (the "Master Landlord Consent") and, subject to the non-disturbance provisions set forth in the Master Landlord Consent, this Lease is subject to and subordinate to the Master Lease and all terms and conditions thereof as otherwise provided in the Master Lease and, subject to Section 25, to all things to which the Master Lease is subject and subordinate. (b) If the Master Lease expires or terminates for any reason in accordance with the terms and conditions of the Master Lease, this Lease shall automatically terminate as between Landlord and Tenant on the date of the expiration or termination of the Master Lease. Upon any such expiration or termination of this Lease, the parties hereto shall thereupon be relieved of all liability and obligation hereunder, excepting liabilities and obligations (i) which accrued or arose prior to the date of such termination or expiration or (ii) relating to or arising from any breach hereof or any Event of Default which occurred prior to said date of expiration or termination. (c) If (i) Master Landlord has elected, at its sole option, to terminate the Master Lease following an Event of Default (as defined in the Master Lease) by Landlord (as tenant) thereunder or (ii) the interest of Landlord under this Lease is transferred (or surrendered or terminated) to Master Landlord by reason of Landlord's Event of Default (as defined in the Master Lease) under the Master Lease or by reason of assignment of the Master Lease (or any similar device) in lieu of transfer (or surrender or termination) following Landlord's Event of Default (as defined in the Master Lease) under the Master Lease, then, so long as no Event of Default by Tenant is continuing under this Lease, this Lease shall subject to the terms of the Master Landlord Consent continue in full force and effect as a direct sublease between Master Landlord and Tenant in accordance with the Master Landlord Consent (the items set forth in (i) and (ii) above being referred to as a "Direct Lease Event"). Upon the occurrence of a Direct Lease Event, Landlord's rights, title and interest under this Lease shall be terminated.
Subject to Master Lease. This Sublease is and shall at all times be subject and subordinate to the Master Lease attached hereto as Exhibit D, and every provision thereof. Sublessee acknowledges that (a) Sublessee’s use and enjoyment of the Subleased Premises are subject to the rights of Master Lessor pursuant to the Master Lease, and (b) Sublessee has reviewed a copy of each Master Lease and is fully familiar with the provisions thereof. Sublessor represents and warrants that (i) the copy of the Master Lease attached hereto as Exhibit D is a true and complete copy of the Master Lease and all amendments, modifications, written side letter agreements and recorded memoranda of leases with respect thereto, (ii) Sublessor has not already assigned its interest in the Master Lease or sublet any of the Subleased Premises, and (iii) as of the date hereof, the Master Lease is in full force and effect and no defaults exist on the part of Sublessor or, to the best of Sublessor’s knowledge, Master Lessor under the terms of the Master Lease. Sublessor shall not assign, terminate or amend the Master Lease (or the Building 5 Master Lease provided that Sublesssee’s ROFO is in full force and effect) without the prior written consent of Sublessee, which consent may be withheld in Sublessee’s sole discretion.

Subtenant affirmatively agrees it shall not violate any term or condition of the Master Lease or the PILOT Agreement or any other document or instrument executed in connection with SCIDA. B. Sublandlord agrees to keep the Master Lease in full force and effect for the benefit of Subtenant, except with respect to (i) a mutual agreement of the Subtenant and Sublandlord to terminate this Sublease (or terminate the Master Lease and enter in to a direct lease) and (ii) Sublandlord's termination of this Sublease in accordance with the terms and conditions of this Sublease. C. The subleasing of the Demised Premises shall in no way relieve Sublandlord from its obligations under the Master Lease or PILOT Agreement; and SCIDA's Unassigned Right under the Master Lease shall remain in full force and effect.

Subject to Master Lease. This Sublease is subject to terms and conditions of the Master Lease and Subtenant shall not permit any act or omission to act that will violate any provision of the Master Lease; provided that such act or omission is within the reasonable control of Subtenant. Subtenant shall comply with the terms and conditions of the Master Lease and shall promptly perform all obligations of Tenant under the Master Lease to the extent that terms, conditions and obligations are incorporated herein and applicable to the Premises. Sublandlord does not assume the obligations of the Master Landlord under the Master Lease, but shall exercise due diligence in attempting to cause the Master Landlord to perform its obligations under the Master Lease for the benefit of Subtenant. Except to the extent caused by the negligence or willful misconduct of Sublandlord, its agents, employees, contractors or invitees, or a breach of Sublandlord's obligations as tenant under the Master Lease (to the extent those obligations are not Subtenant's under this Lease) Sublandlord shall not be liable to Subtenant for Master Landlord's failure to perform any of Master Landlord's obligations under the Master Lease, nor shall Sublandlord have any obligations to bring legal proceedings or take any other action against Master Landlord to assure performance of Master Landlord's obligations under the Master Lease. After giving Sublandlord a reasonable opportunity to enforce the Master Lease,, Subtenant may, at its expense, enforce the Master Lease in the name of Sublandlord.
