Common use of Subject to Master Lease Clause in Contracts

Subject to Master Lease. This Sublease is and shall be at all times subject and subordinate to the Master Lease. Subtenant acknowledges that Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions of the Master Lease. Those provisions of the Master Lease which are applicable to the Subleased Premises and are expressly stated in the Master Lease to survive the expiration or termination of the Master Lease shall survive the expiration or termination of this Sublease. During the Term, with respect to Subtenant’s use and occupancy of the Subleased Premises, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions of the Master Lease which are contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease.

During the Term and for all periods subsequent thereto with respect to obligations which are applicable have arisen prior to the Subleased Premises and are expressly stated in the Master Lease to survive the expiration or termination of the Master Lease shall survive the expiration or termination of this Sublease. During the Term, with respect to Subtenant’s use and occupancy of the Subleased Premises, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions of the Master Lease which are directly contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease. Sublandlord agrees that during the Term, Sublandlord will not amend, modify or voluntarily terminate the Master Lease in a manner which increases Subtenant’s obligations hereunder as materially adversely affects Subtenant’s rights hereunder. The foregoing will not preclude Sublandlord from terminating the Master Lease in the event of casualty or condemnation.

Notwithstanding the foregoing, Subtenant shall have no obligation to maintain any element of the Master Lease Premises that is not part of the Subleased Premises. As between Sublandlord and Subtenant, all such portions of the Master Lease Premises shall be Sublandlord’s sole responsibility.

During the Master Lease Term and for all periods subsequent thereto with respect to obligations which are applicable have arisen prior to the Subleased Premises and are expressly stated in the Master Lease to survive the expiration or termination of the Master Lease shall survive the expiration or termination of this Sublease. During the Term, with respect to Subtenant’s use and occupancy of the Subleased Premises, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under the Master Lease to the extent incorporated herein which pertain to the Subleased Premises and/or this Sublease, except for those provisions of the Master Lease which are directly contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease. Subtenant shall be entitled to receive the benefit of any services, utilities, maintenance, repairs, replacements, and restorations from Landlord under the Master Lease, and Sublandlord shall enforce any of the foregoing in accordance with Section 5(c) above.

Sublandlord covenants that it will provide Subtenant with copies of any amendments or modifications to the Master Lease subsequent to the execution of this Sublease. Sublandlord covenants and agrees that all warranties and covenants and agreements of Landlord to the "Tenant" under the Master Lease shall be assigned from Sublandlord to Subtenant as the same pertain to the Subleased Premises.

During the Term, with respect to Subtenant’s use and occupancy of the Subleased Premises, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions of the Master Lease which are directly contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease. Notwithstanding anything to the contrary contained in this Sublease (including any provisions of the Master Lease to the contrary), Subtenant shall not be required to pay any additional rent or other amounts, or to perform any obligation that is (1) allocable to any period of time prior to the Commencement Date, or following the expiration or sooner termination of this Sublease, or (2) payable solely as a result of a default or breach by Sublandlord of any of its obligations under the Master Lease (unless due to Subtenant’s default of this Sublease or default under any of Sublandlord’s obligations under the Master Lease assumed by Subtenant pursuant to this Sublease).

This Sublease is and shall be at all times expressly subject and subordinate to the Master Lease. , and to the rights of Master Landlord under the Master Lease, and Subtenant acknowledges shall under no circumstances have any greater rights than does Sublandlord under the Master Lease, and no provision of this Sublease shall be construed in a manner that Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions would constitute a breach of the Master Lease. Those provisions Without limiting the generality of the foregoing, in the event of the termination or cancellation of the Master Lease which are applicable to for any reason, this Sublease shall automatically be deemed terminated effective as of the Subleased Premises and are expressly stated in the Master Lease to survive the expiration same day of such cancellation or termination of the Master Lease Lease, and Sublandlord shall survive the expiration have no liability or termination of this Sublease. During the Termobligation to Subtenant as a result thereof; provided, with respect to Subtenant’s use and occupancy of the Subleased Premiseshowever, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Landlord, the obligations of Sublandlord under that if the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions terminates as a result of the Master Lease which are contradicted a default or breach by this Sublease, in which event the terms of Subtenant under this Sublease document shall control over or the Master Lease, then Subtenant shall indemnify, exonerate, and hold Sublandlord harmless from and against any and all loss, cost, damage, and liability (including, without limitation, reasonable attorneys’ fees) incurred by Sublandlord by reason of any breach by Subtenant of its obligation, covenants, and/or undertakings under this Sublease and/or the Master Lease, as applicable to Subtenant, or failure to perform any obligations assumed by Subtenant under this Sublease.

Subject to Master Lease. This Sublease is and shall be at all times subject and subordinate to the Master Lease. Subtenant acknowledges that Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions of the Master Lease, and assumes and agrees to be bound thereby. Those Additionally, Subtenant’s rights under this Sublease shall be subject to the terms of the Consent. Subtenant hereby expressly agrees for the benefit of Landlord: (a) to abide by the provisions of the Master Lease which are to the extent applicable to the Subleased Premises Premises; (b) that this Sublease (and are expressly stated all further subleases of any portion of the Subleased Premises) shall terminate upon any termination of the Master Lease, regardless of whether or not such termination is voluntary; (c) in the Master Lease to survive the expiration or event of a termination of the Master Lease by reason of Sublandlord’s default or in the event of a mutually agreed termination, at Landlord’s option, this Sublease shall survive the expiration terminate, or termination of this Sublease. During the Term, with respect Subtenant shall attorn to Subtenant’s use Landlord; and occupancy of the Subleased Premises, Subtenant agrees (d) to perform and comply with, be bound by all waivers for the benefit of Sublandlord Landlord under the Master Lease. Subtenant agrees that Landlord shall be an express third-party beneficiary of the foregoing provisions and Landlord, that in no event shall Subtenant or any occupant of the obligations Subleased Premises possess or enjoy any rights or remedies in excess of those rights and remedies granted to Sublandlord under the Master Lease which pertain to the Subleased Premises and/or this Sublease, except for those provisions of the Master Lease which are contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease.

Subtenant acknowledges that Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions of the Master LeaseLease (except items which have been redacted by Sublandlord). Those provisions of During the Master Lease Term and for all periods subsequent thereto with respect to obligations which are applicable have arisen prior to the Subleased Premises and are expressly stated in the Master Lease to survive the expiration or termination of the Master Lease shall survive the expiration or earlier termination of this Sublease. During the Term, with respect to Subtenant’s use and occupancy of the Subleased Premises, Subtenant agrees to perform and comply with, for the benefit of Sublandlord and Master Landlord, the obligations of Sublandlord “Tenant” under the Master Lease which pertain to the Subleased Premises and/or or this Sublease, except for those provisions of the Master Lease which are excluded from incorporation as set forth below or directly contradicted by this Sublease, in which event the terms of this Sublease document shall control over the Master Lease. Notwithstanding anything to the contrary in this Sublease, in the event the Master Lease is terminated for any reason other than the default of Sublandlord, this Sublease shall terminate simultaneously with such termination without any liability of Sublandlord to Subtenant; provided, however, that Sublandlord shall not voluntarily terminate the Master Lease except pursuant to a right of termination arising out of casualty or condemnation expressly set forth in the Master Lease.

Subtenant acknowledges , and to the rights of Master Lessor thereunder, except as may be otherwise expressly agreed in writing by Master Lessor, and Sublessee shall under no circumstances have any greater rights than does Sublessor under the Master Lease, and no provision of this Sublease shall be construed in a manner that Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions would constitute a breach of the Master Lease. During the Term, with respect obligation to Subtenant’s use and occupancy Sublessee as a result thereof (except that Sublessor shall return to Sublessee any portion of the Subleased PremisesSecurity Deposit which has not been previously used by Sublessor as provided herein); provided, Subtenant agrees however, that if the Master Lease terminates as a result of a default or breach by Sublessee under this Sublease or the Master Lease, then Sublessee shall be responsible to perform and comply with, Master Lessor for the benefit all of Sublandlord and Landlord, the obligations of Sublandlord the Tenant under the Master Lease which pertain in the event of such termination and pay to the Subleased Premises and/or this Sublease, except Master Lessor any and all damages provided for those provisions of in the Master Lease which are contradicted by this Subleasein the event of such termination, in which event the terms of this Sublease document but shall control over the Master Leasenot be otherwise liable to Sublessor.
