Common use of SUBLEASE OR ASSIGNMENT Clause in Contracts

SUBLEASE OR ASSIGNMENT. The Sublessee further covenants and agrees not to enter into license, purchase or concession agreements or to assign or sublet the demised premises or any part of same, or in any other manner transfer, mortgage or pledge the Sublease, its subleasehold or the demised premises, without the prior written consent of Sublessor, which consent shall not be unreasonably withheld or delayed. In the event of any such subletting or assignment or other such transfer upon obtaining Sublessor’s consent, Sublessee shall nevertheless remain fully and primarily liable hereunder.
