Sublicense and Subcontract Terms. Any sublicense and subcontract granted by Licensee under this Agreement shall be (i) in writing and (ii) subject and subordinate to, and consistent with, the terms and conditions of this Agreement. Licensee shall provide Licensor with a copy of any sublicense agreement entered into with a Sublicensee, and any amendment thereto, within [***] days of its execution (provided that Licensee may redact any confidential information contained therein that is not necessary to ascertain compliance with this Agreement). Licensee shall be responsible for the compliance of its Affiliates, Sublicensees and subcontractors with the relevant obligations under this Agreement and shall, at its own cost, enforce compliance by its Affiliates, Sublicensees and subcontractors with the terms of the sublicense agreement.
